Terms of Service

These Terms of Service ("Terms") govern your access to and use of OrgVector (the "Service") provided by elrrich, LLC ("elrrich," "we," or "us"). By creating an account, accessing, or using the Service, you agree to these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization.

If you do not agree, do not use the Service.

OrgVector is a cloud-based application for organizational design, including org health checks, org chart modeling, scenarios, structural metrics, and related features as described on our website and in-product documentation. Features may change over time; we will use reasonable efforts to avoid materially degrading the core functionality you pay for without notice.

You must provide accurate registration information and keep it current. You are responsible for safeguarding your credentials and for activity under your account. Notify us promptly of unauthorized use.

You must be at least the age of majority in your jurisdiction to use the Service.

We may offer a free trial as described on our pricing page. Trials are subject to these Terms and may require a credit card for paid plans after the trial only where clearly stated at signup.

Paid subscriptions are billed through Stripe (or as otherwise indicated) on a monthly basis unless you cancel before renewal. Fees are exclusive of taxes unless stated otherwise. You authorize us and our payment processor to charge your payment method.

You may cancel your subscription in accordance with in-product billing settings. Cancellation takes effect at the end of the current billing period unless otherwise stated. We do not refund partial months except where required by law or at our sole discretion.

We may change pricing with reasonable advance notice; continued use after the effective date constitutes acceptance.

You agree not to: (a) misuse, disrupt, or attempt to gain unauthorized access to the Service or other users' data; (b) use the Service to violate any law or third-party rights; (c) upload malware or harmful code; (d) scrape, mine, or automate access to the Service in a way that impairs our systems or violates our documentation; (e) reverse engineer the Service except as permitted by law; or (f) resell the Service without a written agreement permitting multi-tenant or consultant use as offered in your plan.

We may suspend or terminate access for violations.

You retain ownership of your organizational data and content you submit. You grant us a limited license to host, process, back up, and display your content solely to provide and improve the Service.

The Service, including software, branding, and documentation, is owned by elrrich or its licensors and is protected by intellectual property laws. Except for the limited right to use the Service under these Terms, no rights are granted to you.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. ORGVECTOR PROVIDES DIAGNOSTIC AND ANALYTICAL OUTPUT TO SUPPORT DECISIONS; IT DOES NOT PROVIDE LEGAL, HR, OR FINANCIAL ADVICE. YOU ARE RESPONSIBLE FOR YOUR ORGANIZATIONAL AND COMPLIANCE DECISIONS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ELRRICH AND ITS SUPPLIERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM OR RELATED TO THE SERVICE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (US$100).

Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the fullest extent permitted by law.

You will defend and indemnify elrrich and its affiliates, officers, and employees against claims arising from your content, your use of the Service in violation of these Terms, or your violation of law or third-party rights.

You may stop using the Service at any time. We may suspend or terminate your access for breach of these Terms, risk to security, or operational reasons, with notice where practicable.

Upon termination, your right to use the Service ceases. Provisions that by their nature should survive (including disclaimers, limitations of liability, indemnity, and governing law) will survive.

These Terms are governed by the laws of the State of Delaware, United States, excluding conflict-of-law rules. Except where prohibited, exclusive jurisdiction for disputes will be in the state or federal courts located in Delaware, and you consent to personal jurisdiction there.

If you are a consumer in a jurisdiction that does not allow such a choice of law or forum, mandatory local law may apply.

We may modify these Terms. We will post the updated Terms on this page and update the "Last updated" date. For material changes, we may provide additional notice (for example, email or in-app). Continued use after the effective date constitutes acceptance.
